2. Client Responsibilities
The Client agrees to:

- Ensure they own or have permission to use any materials provided to us.
- Review deliverables promptly and provide feedback within agreed timelines.
Delays caused by the Client may result in project timeline adjustments.
3. Quotations & Agreements
All quotations are valid for the period specified in the proposal unless otherwise stated.
A project is considered accepted once the Client confirms the quotation or agreement in writing or submits any required advance payment.
4. Pricing & Payments
Project fees are outlined in the approved quotation or agreement.
Unless otherwise agreed:
- Payments must be made according to the agreed schedule.
- Work may commence after receipt of the required advance payment.
- Delayed payments may delay project delivery.
- Outstanding balances must be settled before final files or website access are delivered.
All applicable taxes, government fees, or bank charges are the responsibility of the Client unless otherwise stated.
5. Revisions
Unless specified differently in the project agreement:
- Reasonable revisions are included.
- Requests that significantly change the original project scope may require additional fees.
- Additional work will only begin after approval of the revised quotation where applicable.
6. Intellectual Property
Upon full payment:
- The Client receives ownership of the final approved deliverables, unless otherwise agreed.
- Bedoya Marketing retains ownership of preliminary concepts, unused designs, internal methodologies, templates, and proprietary processes.
We reserve the right to display completed projects in our portfolio unless a written confidentiality agreement provides otherwise.
7. Third-Party Services
Some projects may involve third-party providers including:
- Domain Registrars
- Hosting Companies
- Advertising Platforms
- Social Media Platforms
- Payment Gateway Providers
- Software Vendors
We are not responsible for service interruptions, pricing changes, account suspensions, or policies imposed by these third parties.
8. Website Content
The Client is solely responsible for ensuring that all provided content complies with applicable laws and does not infringe upon the rights of others.
We reserve the right to refuse content that is unlawful, defamatory, misleading, offensive, or infringes intellectual property rights.
9. Limitation of Liability
To the maximum extent permitted by applicable law, Bedoya Marketing shall not be liable for:
- Indirect or consequential damages.
- Loss of profits or business opportunities.
- Loss of data.
- Website downtime caused by third-party providers.
- Search engine ranking fluctuations.
- Social media algorithm changes.
- Advertising platform policy decisions.
Our total liability shall not exceed the amount paid by the Client for the specific service giving rise to the claim.
10. Confidentiality
Both parties agree to maintain the confidentiality of any non-public business information exchanged during the project unless disclosure is required by law.
11. Termination
Either party may terminate a project in accordance with the agreed contract.
If the Client terminates after work has commenced:
- Payments already made are generally non-refundable unless otherwise agreed in writing.
- The Client remains responsible for payment of work completed up to the termination date.
12. Force Majeure
Neither party shall be liable for delays or failures caused by events beyond reasonable control, including natural disasters, government actions, internet outages, labor disputes, pandemics, or other unforeseen events.
13. Governing Law
These Terms & Conditions shall be governed by and interpreted in accordance with the applicable laws of the jurisdiction in which Bedoya Marketing operates, unless otherwise specified in a written agreement.
14. Changes to These Terms
We reserve the right to modify these Terms & Conditions at any time.
